These Terms of Service ("Terms") govern your use of the website at nimblesoftlimited.com and all software products and consulting services provided by Nimblesoft Limited ("Nimblesoft", "we", "us", or "our"). By accessing or using any of our products or services, you agree to be bound by these Terms.

1. Products and Services

Software Products

Nimblesoft operates the following software products, each governed by these Terms in addition to any product-specific terms published on the respective product website:

  • BioCheck (biocheck.ing) — a SaaS platform for monitoring bio link availability
  • AI Form Filler (aiformfiller.org) — a browser extension for automated form completion

Consulting Services

Nimblesoft offers software engineering consulting, including SaaS MVP development, architecture design, and technical advisory services. Specific consulting engagements are governed by a separate written agreement (Statement of Work or similar) in addition to these Terms.

2. Accounts

Where a product requires account registration (currently BioCheck), you must provide accurate and complete information. You are responsible for maintaining the security of your account credentials. You must notify us immediately at nimblesoftlimited@gmail.com if you suspect unauthorised access to your account.

You may not share your account with others or use another person's account without their explicit permission.

3. Subscriptions and Payments

Paid tiers of BioCheck are billed on a recurring basis (monthly or annual) as described on the BioCheck pricing page. Fees are non-refundable except as required by applicable law or as described in our refund policy. We reserve the right to change pricing with 30 days' notice. Continued use of a paid plan after a price change constitutes acceptance of the new price.

4. Acceptable Use

You agree not to:

  • Use our products or services for any unlawful purpose or in violation of any applicable regulations
  • Attempt to gain unauthorised access to any system, network, or data
  • Use our services to send spam, unsolicited communications, or malware
  • Reverse-engineer, decompile, or attempt to extract source code from our software
  • Resell or sublicense access to our products without written authorisation
  • Use our services in a way that could damage, disable, or overburden our infrastructure
  • Impersonate Nimblesoft or any of its employees or representatives

5. Intellectual Property

All content, design, code, and branding associated with Nimblesoft Limited and its products are owned by or licensed to Nimblesoft Limited. Nothing in these Terms transfers ownership of any intellectual property to you.

AI Form Filler is released under the MIT License for its open-source components. Where applicable, that license governs your rights to use, copy, and modify those components. The product as a whole, including its design and commercial elements, remains property of Nimblesoft Limited.

6. Third-Party Services

Our products integrate with third-party services (including AI providers, payment processors, and authentication providers). Your use of those services is governed by their own terms and privacy policies. Nimblesoft is not responsible for the practices or content of third-party services.

7. Disclaimer of Warranties

Our products and services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that our services will be uninterrupted, error-free, or secure, or that any defects will be corrected. Uptime targets, where stated, are targets and not guarantees.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Nimblesoft Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business interruption, arising from your use of (or inability to use) our products or services, even if we have been advised of the possibility of such damages.

Our total liability in connection with these Terms shall not exceed the greater of (a) the total fees paid by you to Nimblesoft in the 12 months preceding the claim, or (b) USD $100.

9. Indemnification

You agree to indemnify and hold harmless Nimblesoft Limited and its affiliates from any claims, damages, losses, or expenses (including legal fees) arising from your violation of these Terms or misuse of our products or services.

10. Termination

You may stop using our services at any time. We reserve the right to suspend or terminate your access at any time, with or without notice, if we believe you are in violation of these Terms or if continued provision of the service is not commercially viable.

Upon termination of a BioCheck account, your data will be retained for 30 days before deletion, during which time you may request an export. After 30 days, all associated data is permanently deleted.

11. Changes to These Terms

We may update these Terms from time to time. We will notify users of material changes by posting the updated Terms on this page and updating the "Last updated" date. For significant changes, we may also notify registered users by email. Continued use of our services after changes take effect constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Nigeria.
